This study seeks to formulate a framework to address the issue of protecting of employee-shareholders from expropriation by a  controlling shareholder in the Mozambican legal system, in the absence of the optimal conditions found in developed countries such as the concept of the ‘market’, ‘cultural constraints’, adequate ‘legal institutions’ and effective ‘enforcement mechanisms’.  It will examine how such a framework could be designed to be ‘context specific’, taking into account the history of the emergence of employee-shareholders, Mozambican culture, social structures and institutions, level of economic development and legal traditions.
